Part-Time Contract Attorney — Sr. M&A Attorney

Studio Leonelli is growing, and we are looking for an experienced M&A attorney who knows how to run a deal. We represent buyers and sellers in founder exits, strategic acquisitions, rollups, and other transactions - from smaller deals where efficiency matters enormously to sophisticated $30M+ transactions.
The Opportunity:
You will step into matters at different stages and levels of responsibility. On some deals, you may review or draft specific documents. On others, you will own the transaction from LOI through closing. We need someone who can scale the legal approach to fit the economics and complexity of the deal.
What You'll Do:
· Run M&A transactions from LOI through closing.
· Lead diligence and manage transaction workstreams.
· Draft and negotiate purchase agreements, disclosure schedules, ancillary agreements, and closing documents.
· Negotiate directly with opposing counsel and coordinate with clients and advisors.
· Own transaction checklists, deadlines, closing mechanics, and next steps.
· Communicate clearly, concisely, and proactively with clients and the Studio Leonelli team.
What We Are Looking For:
Please apply only if you meet all of the following requirements:
· 5+ years of substantive M&A experience, including leading transactions autonomously or as the lead attorney.
· 40+ completed M&A transactions.
· Experience with transactions ranging from approximately $1M to $30M+.
· Experience with both asset and stock/equity transactions.
· Experience representing both buyers and sellers.
· Strong drafting and negotiation skills, including principal transaction documents.
· Responsive, dependable, organized, and able to write clear, concise, client-friendly emails.
