Role Overview
We are seeking an experienced General Counsel to oversee all legal, regulatory, and corporate affairs. This role acts as a primary strategic advisor to the executive team, supporting early-stage operations, venture fundraising, equity structuring, and operational scale.
Key Responsibilities
Corporate Governance & Fundraising: Manage state/federal corporate compliance, board governance, shareholder meeting preparation, and legal structuring for seed funding rounds (SAFE/convertible notes, equity compensation).
E-Commerce & Commercial Contracts: Draft and maintain customer-facing Terms of Service, Privacy Policies, supplier/vendor agreements, and fulfillment/3PL logistics contracts.
Charitable Co-Venture (CCV) Compliance: Oversee legal agreements and state-by-state regulatory filings required for our 5% non-profit donation revenue-share model.
Regulatory & Marketing Claims Compliance: Ensure FTC compliance regarding environmental claims ("greenwashing" protections), data privacy laws (CCPA/CPRA, GDPR), and consumer protection standards.
Employment & Workforce Transition: Advise on legal structuring for contractor agreements and lead the strategic transition to a W-2 employment structure post-funding.
Intellectual Property: Protect and enforce AllPeople trademarks, logos, brand assets, and copyright compliance (DMCA).
Position Requirements & Compensation
Employment Type: Contract / Remote (10–20 hours per week required).
Compensation: Initial compensation will be equity-only. Upon successful completion of our active seed funding round, the role will transition to a W-2 position with market-rate salary and benefits.
Qualifications: J.D. from an accredited law school, active state bar license, and demonstrated experience advising early-stage e-commerce or venture-backed startups.
