Fully Remote Corporate Transactional Attorney

Job Overview
A law firm is seeking a Senior Corporate Transactional Attorney with approximately 7–10 years of experience to join its Corporate Department on a fully remote basis. The successful candidate will have substantial experience handling complex M&A and commercial transactions and will work with national and multinational companies, closely held businesses, and other sophisticated clients.
The firm is particularly interested in attorneys with strong transactional experience who are admitted to practice in California, Florida, Oklahoma, Arkansas, or New York. The role offers the opportunity to work on sophisticated transactions in a collaborative environment while providing practical, business-focused legal advice to clients.
Responsibilities
• Lead and manage complex mergers and acquisitions, commercial transactions, and other corporate matters.
• Draft, review, revise, and negotiate transaction documents, contracts, agreements, and related legal documents.
• Advise clients on corporate governance, regulatory compliance, and other legal and business considerations.
• Counsel closely held businesses and other clients regarding corporate structure, governance, and transactional matters.
• Advise clients on data privacy, security, and regulatory issues as they relate to corporate and commercial transactions.
• Manage due diligence processes and coordinate transaction closings.
• Communicate directly with clients, opposing counsel, deal professionals, and other stakeholders.
• Provide practical, strategic legal advice tailored to clients' business objectives.
• Manage multiple complex matters and deadlines effectively.
• Collaborate with attorneys and other professionals across the firm to achieve client objectives.
Requirements
• 7–10 years of experience in corporate and commercial transactions.
• Significant experience handling M&A transactions and other sophisticated corporate matters.
• Demonstrated ability to independently manage complex transactions and, where appropriate, lead deal teams.
• Strong contract drafting, negotiation, analytical, and problem-solving skills.
• Experience advising sophisticated clients and managing matters from due diligence through closing.
• Excellent written and verbal communication skills.
• Ability to work independently while also contributing effectively to a collaborative team.
• Strong academic background; top-tier law school or equivalent experience preferred.
• Admission to practice law in California, Florida, Oklahoma, Arkansas, or New York, in good standing.
Education
• Juris Doctor (JD) from an accredited law school.
• Strong academic credentials preferred.

Compensation & Benefits
• Compensation: $275,000–$300,000
