In-House Commercial Contracts Attorney (Remote / Part-Time Engagement)
Latitude is seeking an experienced Commercial Contracts Attorney for a fully remote, part-time in-house engagement supporting an emerging healthcare SaaS company. This is an excellent opportunity for a seasoned commercial lawyer with significant technology contracting experience to jump in and assist with professionalizing the company's contracting and compliance approaches.
The attorney will primarily review contracting templates, playbooks and systems and provide improvements to all of the above. Matters are expected to include agreements involving protected health information (PHI), employee and other sensitive data, artificial intelligence, data privacy and security, and mission-critical technology systems.
The successful candidate will work directly with the CEO and other internal stakeholders to understand business objectives, identify material legal and operational risks, and advise on structuring around those risks.
While helping this startup company take their contracting systems to the next level is the key focus of this engagement, it may also advising on compliance and systems within other areas in which the attorney has expertise. Finally, there may be an option to continue assisting with incoming contracts on an as-needed basis.
Basic Requirements For The Commercial Contracts Counsel
5+ years of relevant commercial contracts and transactional experience
Significant experience drafting, reviewing, and negotiating sophisticated technology, SaaS, software, licensing, services, and vendor agreements
Meaningful experience with data privacy and security issues arising in technology transactions
Experience negotiating agreements involving protected health information (PHI) and other sensitive or regulated data
Healthcare industry experience strongly preferred
Experience with artificial intelligence agreements, AI-enabled products, and/or other emerging technologies strongly preferred
Ability to independently manage sophisticated contract negotiations and directly advise technology and business stakeholders
Practical understanding of commercial risk allocation and ability to distinguish material legal and business risks from lower-priority contractual issues
Experience working with mission-critical enterprise technology systems is a plus
Corporate governance or employment experience is a plus
Prior in-house counsel experience strongly preferred
Excellent academic credentials from an ABA-accredited law school
Excellent analytical, written, verbal, and interpersonal skills
Licensed to practice law in at least one U.S. jurisdiction and eligible to practice in-house
Outstanding professional references
Position Details of the Commercial Contracts Counsel:
Type of role: Contract In-House Counsel Engagement
Schedule: Part-time / flexible; Initial Estimate is 10+- hours per week for a month or two, following by optional ongoing support of new contracts
Location: Fully Remote / WFH
Duration: Initial engagement with the potential for a long-term relationship based upon business needs
Compensation
Pay: The annualized pay for this position ranges from $170,000 to $210,000 or more when calculated on a full-time basis. Pay for contract engagements is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).
Benefits: Latitude contract professionals are usually W2 employees of Latitude and are eligible for full benefits when working in roles for 20 hours per week. Benefits-eligible Latitude contract professionals receive complimentary Group Life, LTD and AD&D. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
