Mergers & Acquisitions Attorney

We are working with a Growing Law Firm and they are looking for an experienced Mergers & Acquisitions Attorney to join their firm. Specifically, they are looking for someone who has 4+ years of experience.
Requirements:
4+ years of dedicated corporate transactional experience, with a focus on M&A at a reputable law firm or in-house legal department
Expert drafting, negotiation, and analytical skills in commercial and transactional law
Demonstrated ability to manage multiple complex transactions independently in a remote environment.
Strong communication skills for high-touch, virtual client and team interaction
Active bar license in good standing, within the United States
Responsibilities:
Lead M&A transactions, including structuring, negotiating, and closing asset purchases, stock purchases, reorganizations, and joint ventures
Draft and negotiate key deal documents, including Letters of Intent (LOIs), Definitive Purchase Agreements, Non-Disclosure Agreements (NDAs), Escrow Agreements, and ancillary closing documents
Oversee comprehensive legal due diligence reviews, identify risk exposures, and synthesize actionable risk mitigation strategies for stakeholders
Advise corporate clients on entity structuring, board approvals, shareholder agreements, compliance, and regulatory requirements related to transactional closings.
The annual salary for this position is between 175k-350k. Factors which may affect pay within this range may include geography/market, skills, education, experience and other qualifications of the successful candidate.
