Role Summary
The role provides critical legal, regulatory, and governance support to the business, helping ensure compliance with applicable laws, regulations, and corporate requirements. This position advises stakeholders on legal risks, contract management, regulatory developments, and corporate governance matters while supporting business growth and operational objectives. The role also oversees corporate secretarial activities, including shareholder and Board governance processes, statutory compliance, and corporate record management. This opportunity offers exposure to complex legal, regulatory, and governance matters within a regulated business environment.
Position Responsibilities:
Legal
Develop, negotiate, review, and modify contracts and agreements to support various business activities.
Provide legal advice on business matters, including Insurance, Business & Commercial Enterprise, Civil, Contract, and Intellectual Property Laws.
Carry out legal research and provide interpretation of legal information, requested legal issues, and applicable regulatory changes.
Provide legal protection and legal risk management advice relating to contract management.
Review and advise on the legal implications of product materials and significant marketing materials.
Review and advise on the legal implications of internal policies and procedures.
Specifically cover the Risk Assessment Procedure and Record Management Policy.
Coordinate reporting requirements to regulators, including annual financial reports, monthly business statistics updates, and financial statements.
Communicate with the Tax Department whenever required and obligated.
Support Regulatory Development & Management.
Corporate Secretarial
Support Good Corporate Governance and Corporate Secretarial Management.
Manage statutory matters, including capital, shareholders, shareholders' and Board of Directors (BOD) meeting modalities and resolutions, and BOD changes.
Arrange shareholders' and BOD meetings.
Draft resolutions and manage records of shareholders' and BOD meeting minutes.
Manage shareholders' and BOD status and identification records.
Manage corporate records and commercial binders.
Required Qualifications:
Bachelor of Laws (LL.B.).
Minimum 8-10 years of post-qualification legal experience.
Strong experience in:
Commercial contract drafting and negotiation.
Corporate and commercial law.
Regulatory compliance and regulatory engagement.
Corporate secretarial and corporate governance matters.
Managing legal risks and providing practical legal advice to business stakeholders.
Licensed Advocate / Practicing Lawyer.
Master's Degree in Law (LL.M.), Business Law, Corporate Law, or a related discipline.
Experience in the insurance, financial services, banking, or regulated industry.
