About the Role
We are seeking a proactive, agile, and high-ownership Company Secretary with 3–4 years of post-qualification experience to lead and manage our end-to-end secretarial and regulatory compliance functions. As a high-growth startup operating in the regulated financial services space, we hold Payment Aggregator (PA) and Account Aggregator (AA) licenses issued by the Reserve Bank of India (RBI).
Key Responsibilities
1. Secretarial & Corporate Governance (End-to-End)
Board & General Meetings: Prepare agendas, draft detailed notices, board notes, resolutions, and minutes for Board, Committee, and General (AGM/EGM) meetings in compliance with the Companies Act, 2013, and Secretarial Standards.
ROC & MCA Compliances: Manage all statutory filings (e.g., MGT-14, PAS-3, AOC-4, MGT-7, DIR-12, BEN-2, etc.) and maintain statutory registers, books, and records as required under company law.
Capital & Shareholding Management: Handle corporate actions including share allotments, transfers, dematerialization, transmissions, rights/preferential issues, cap table maintenance, and stamp duty payments.
Corporate Actions & Restructuring: Assist leadership on corporate actions and restructuring and related secretarial execution.
2. RBI Compliances (Payment Aggregator & Account Aggregator)
Payment Aggregator (PA) Guidelines: Ensure continuous adherence to RBI directions for Payment Aggregators
Account Aggregator (AA) Master Directions: Ensure adherence to RBI Master Directions for NBFC-AA.
Regulatory Reporting & Filings: Prepare and submit periodic returns, net-worth certificates, compliance reports, and incident disclosures to the RBI.
Policy Drafting & Governance: Formulate, review, and periodically update key statutory and regulatory policies.
3. Audits, Liaison & Regulatory Interface
Regulatory Inspections & Liaison: Serve as the primary point of contact for the RBI, Registrar of Companies (ROC), and other regulatory bodies for queries, notices, filings, and routine correspondence.
Statutory & Secretarial Audits: Coordinate with external Secretarial Auditors, Statutory Auditors or any other Auditors for annual and periodic compliance audits.
Advisory & Internal Monitoring: Advise management and cross-functional teams on the legal and compliance implications and changing regulatory guidelines.
Regulatory Horizon Scanning: Actively track updates in RBI guidelines, MCA circulars, DPDP Act (Data Protection), and fintech regulations, evaluating operational impact and briefing executive leadership proactively.
Key Requirements & Qualifications
Qualification: Member of the Institute of Company Secretaries of India (ICSI). A dual degree in Law (LL.B) is a strong plus.
Experience: 3–4 years of post-qualification experience (PQE) handling core secretarial operations and regulatory compliance.
Regulatory Exposure: Prior experience handling RBI compliances within an RBI-regulated entity (NBFC, Payment Aggregator, Account Aggregator, Payment Gateway, or Fintech startup) is strongly preferred.
Hands-on Mindset: Comfortable operating independently in a dynamic startup environment without relying on large supporting teams.
Domain Knowledge: In-depth knowledge of the Companies Act, 2013, Secretarial Standards and good knowledge of RBI Directions for Payment Aggregators/Account Aggregators, KYC/AML rules, and data privacy regulations.
Communication & Stakeholder Skills: Excellent drafting, verbal communication, and interpersonal skills to interact effectively with internal leadership, external auditors, and regulatory officials.
