Your Role And Responsibilities
You'll be part of a dynamic Bangalore-based legal team, collaborating with fellow lawyers and support staff to offer legal guidance and assistance to IBM's global corporate secretarial team and business teams. Your responsibilities would include:
Support corporate governance activities across multiple jurisdictions, including board, shareholder, committee, and governance meetings, preparation of minutes and resolutions, and coordination of statutory and regulatory filings.
Maintain corporate records, entity management databases, statutory registers, and governance documentation to ensure ongoing compliance.
Partner with cross-functional stakeholders, including Treasury, Tax, Finance, Real Estate, HR, Compliance, and other business teams, to support governance, entity management, and compliance requirements.
Coordinate with Finance and external auditors on statutory audits, annual compliance obligations, and corporate reporting requirements.
Support the integration, maintenance, and governance of acquired entities, including post-acquisition compliance and entity rationalization activities.
Assist with corporate transactions and special projects, including mergers, reorganizations, entity restructurings, capital changes, business expansions, and regulatory licensing matters.
Conduct legal and governance research and provide support on corporate, regulatory, and compliance-related matters across jurisdictions.
Collaborate with litigation, employment, compliance, and commercial legal teams on strategic projects and other legal initiatives as required.
Drive process improvements, standardization initiatives, and operational excellence within the corporate governance and entity management function.
This role will be in the Legal Center of Excellence (CoE) set up in Bangalore, India. The Legal CoE is dedicated to achieving continuous operational improvement in legal and corporate service delivery across IBM's diverse business areas and geographies.
Preferred Education
Bachelor's Degree
Required Technical And Professional Expertise
Qualified Company Secretary, having successfully completed the Professional Programme of the Institute of Company Secretaries of India (ICSI).
Strong written and verbal communication skills, with the ability to engage effectively with stakeholders across functions and geographies.
Proven interpersonal and collaboration skills, with the ability to work effectively in a team-oriented environment.
Ability to quickly develop expertise in corporate governance, entity management, regulatory compliance, and legal operations across multiple jurisdictions.
Strong analytical and problem-solving skills, with the ability to identify issues, assess risks, and recommend practical solutions while driving continuous process improvement.
Ability to manage multiple priorities, exercise sound judgment, and deliver high-quality work in a fast-paced environment.
Demonstrated ability to collaborate, influence stakeholders, and coordinate activities across teams and projects.
Accountable for delivering individual and team objectives, with a focus on compliance, operational excellence, stakeholder satisfaction, and business outcomes.
Preferred Technical And Professional Experience
Company Secretary qualification required; a legal qualification would be an added advantage.
