Houston Mid-level Capital Markets Associate

The Role
The Houston office of Clifford Chance is seeking an experienced associate to join its Capital Markets practice. The successful candidate will work on sophisticated domestic and international Capital Markets transactions, with a focus on companies, sponsors, and financial institutions operating in the energy, infrastructure, and industrial sectors. The role offers the opportunity to advise on a broad range of debt and equity capital markets matters, including initial public offerings, follow-on offerings, high-yield debt offerings, SPAC transactions, liability management exercises, project bonds, and securities law and corporate governance matters.
The ideal candidate will have at least three years of recent law firm experience representing issuers, underwriters, private equity sponsors, and financial institutions in capital markets and corporate transactions. Candidates should have meaningful experience with debt and equity offerings, SEC-registered and private securities offerings, securities law compliance, public company reporting obligations, and corporate governance matters. Experience advising clients in the energy, infrastructure, and natural resources sectors, as well as experience with liability management transactions, restructurings, and SPAC transactions, is strongly preferred.
The successful candidate will be a proactive and collaborative lawyer who combines strong technical skills with commercial judgment and a practical, business-oriented approach. The candidate should be capable of independently managing significant portions of transactions, coordinating diligence and disclosure processes, drafting and negotiating transaction documents, and working closely with clients, investment banks, accountants, and opposing counsel. Candidates should possess exceptional drafting, analytical, issue-spotting, project management, and communication skills and be comfortable working directly with public company management teams and financial institutions on complex and fast-paced transactions.
Your Experience
J.D. from an accredited law school.
Active membership in good standing with the Texas Bar, or eligibility to waive into the Texas Bar.
At least three years of law firm experience focused on capital markets, securities, corporate finance, or related corporate transactions.
Significant experience representing issuers, underwriters, sponsors, or financial institutions in debt and equity capital markets transactions.
Experience with initial public offerings, follow-on offerings, high-yield debt transactions, SPAC transactions and other public and private securities offerings.
Experience drafting and negotiating offering memoranda, registration statements, underwriting agreements, purchase agreements, indentures, and related transaction documents.
Familiarity with SEC reporting requirements, securities laws, stock exchange rules, and public company governance matters.
Experience with liability management transactions or restructuring-related financings is preferred.
Ability to independently manage transaction workstreams and coordinate multidisciplinary teams on complex matters.
Strong analytical, drafting, negotiation, and communication skills.
Strong attention to detail and ability to manage multiple matters and deadlines in a fast-paced, collaborative environment.
Sound judgment, commercial awareness, intellectual curiosity, and a practical, client-focused approach.
Experience representing clients in the energy, infrastructure, industrial, or natural resources sectors is preferred but not required.

Clifford Chance US LLP offers a comprehensive benefits and compensation package. The salary range for this position is $260,000-$310,000. Actual salary will be commensurate with the candidate's qualifications and relevant experience.
