The Opportunity
We are looking for an Associate in the Transaction Advisory - Legal team at Mumbai, with 1 - 3 years of experience in Private Equity/Venture Capital, M&A, and General Corporate matters. This role offers the opportunity to work closely with founders, investors, and businesses on transactions and corporate advisory assignments.
Key Responsibilities
Support the execution of Private Equity, Venture Capital, and M&A transactions.
Conduct legal due diligence and identify key legal and regulatory risks.
Draft, review, and negotiate transaction documents, including term sheets, investment agreements, shareholders’ agreements, and other corporate contracts.
Advise on general corporate, commercial, and contractual matters.
Undertake legal research and assist in preparing opinions, notes, and transaction-related documentation.
Coordinate with clients, counterparties, and other professional advisors to ensure timely execution of assignments.
Monitor applicable legal and regulatory developments relevant to clients and transactions.
Qualifications & Experience
LL.B. degree from a recognised university or law school.
1 - 3 years of relevant experience in Private Equity/Venture Capital, M&A, and General Corporate matters.
Strong understanding of corporate and commercial laws, transaction structures, and investment documentation.
Excellent legal drafting, research, analytical, and communication skills.
High attention to detail, sound judgement, and a solution-oriented approach.
Ability to manage multiple assignments, meet deadlines, and work effectively in a fast-paced, client-focused environment.
