This position will play a key role in supporting the General Counsel in the management, oversight, and execution of enterprise-wide legal matters, with an initial primary focus on commercial contracting and transactional matters and meaningful opportunity for growth into other areas, including litigation, regulatory, corporate governance, compliance, employment law, and legal operations matters. The successful candidate will serve as a primary legal contracting resource for a broad range of business units and corporate functions, partnering closely with internal stakeholders to facilitate business objectives while appropriately managing legal and regulatory risk.
The ideal candidate will be an experienced commercial contracts or transactional attorney at their core, with substantial experience drafting, reviewing, negotiating, and advising on complex commercial agreements. Experience with mergers and acquisitions, joint ventures, or other strategic transactions is strongly valued but not required. The successful candidate will possess strong business judgment, exceptional attention to detail, the ability to operate independently in a fast-paced environment, and the interest and agility to expand into other areas of law.
This role offers meaningful exposure to highly regulated healthcare, aviation, and energy industries, as well as domestic and international business operations. Prior experience across each of these industries is not required. PHI values strong legal fundamentals, intellectual curiosity, sound judgment, a collaborative working style, and the ability to learn new businesses and subject areas quickly.
Responsibilities include:
Manage enterprise-wide corporate contracts and transactions, including drafting, reviewing, negotiating, and managing a broad and diverse array of commercial agreements, including:
Corporate strategic transaction agreements
Healthcare-related agreements, including joint venture and partnership agreements, Preferred Provider Agreements (PPAs), Insurance Network Provider Agreements, Business Associate Agreements (BAAs), consulting and advisory agreements, and clinical training and preceptorship agreements
Aviation-related agreements, including aircraft leasing, purchase and sale, maintenance, repair and overhaul (MRO), and aviation transportation agreements
General business and procurement agreements, including vendor, master services, professional services, confidentiality and non-disclosure, real estate leasing and facilities, and software and technology agreements
Take ownership of assigned legal matters from initial intake through completion, including establishing priorities, identifying required decisions, coordinating stakeholders, and driving matters toward timely resolution.
Effectively triage competing requests based on legal risk, business impact, urgency, and organizational priorities, escalating significant issues appropriately.
Provide practical, business-oriented legal advice regarding contractual rights, obligations, risks, and dispute resolution.
Partner with business leaders and corporate functions, including operations, finance, procurement, information technology, compliance, human resources, revenue cycle, and executive leadership, to support business initiatives and transactions.
Identify legal, operational, regulatory, and financial risks associated with proposed contracts and transactions and develop practical solutions to mitigate those risks.
Exercise independent judgment while promptly escalating significant legal, regulatory, financial, reputational, or operational risks to the General Counsel.
Support the negotiation, structuring, and implementation of strategic business transactions, partnerships, joint ventures, acquisitions, divestitures, and other corporate initiatives.
Assist with legal due diligence and transactional documentation related to mergers, acquisitions, financings, and other corporate transactions.
Develop and maintain contract templates, negotiation playbooks, and standard processes designed to improve contract efficiency, consistency, and risk management.
Advise business stakeholders regarding contract interpretation, performance issues, amendments, renewals, and termination rights.
Support the resolution of contractual disputes and pre-litigation matters.
Coordinate with and manage outside counsel as necessary.
Growth and Development
In addition to the role's initial focus on commercial contracting and transactional matters, the Senior Corporate Counsel will have the opportunity and will be expected over time to develop the capability to assist the General Counsel across a broader range of enterprise legal matters. Depending on business needs and the candidate's experience and development, these responsibilities may include litigation, regulatory matters, corporate governance, compliance initiatives, employment law, legal operations, and special projects assigned by the General Counsel.
Ways of Working

Communicate directly, clearly, and respectfully, including when identifying risk, delivering difficult advice, or challenging a proposed course of action.
Provide practical and actionable guidance, distinguishing material legal and business risks from lower-level concerns and helping stakeholders make informed, timely decisions.
Exercise sound independent judgment while knowing when to escalate, particularly when matters present significant legal, regulatory, financial, operational, or reputational risk.
Remain responsive and adaptable, reprioritizing effectively as business needs, deadlines, and risk considerations evolve.
Invite and consider differing perspectives, engage constructively with feedback, and contribute to a collegial, solutions-oriented Legal Department.
Continuously improve how legal services are delivered, including through thoughtful use of templates, playbooks, technology, standardized processes, and other efficiency improvements.
