In-House Counsel

We're hiring contract in-house counsel for Remoat Teams.
You'll be the careful reader of the agreements we sign — vendor and commercial paper, DPAs, and contractor arrangements for a fully remote, high-volume workforce — and you'll help us stay compliant as we scale.
What you'll do
- Review vendor and commercial agreements on an ongoing basis — careful, complete reads before we sign
- Ensure vendor paper has alignment and compliant DPA / data-processing records; partner on DPA and related contract compliance so we stay compliant
- Advise on employee vs independent contractor / contract-for-service risk for our remote contractor workforce (Philippines law and other jurisdictions we engage into, as needed)
- Draft, review, and redline contractor and commercial agreements (plain English, risk flagged with evidence)
- Advise ops and leadership before contracts go out — not after the damage
- Escalate real exposure (formal opinions, litigation, novel multi-country issues) to outside counsel — and manage that handoff cleanly
What you won't own
- SOC 2 / security compliance program (separate compliance seat — you partner on legal/contract issues; you don't run the audit program)
- Applicant-facing recruiting copy
- Day-to-day product/engineering legal for the hiring software itself
Must-haves
- Practising lawyer, licensed to practice in the Philippines (or equivalent Philippine in-house depth on commercial/employment and vendor paper)
- Real experience with commercial agreement and vendor-paper review — not just templates
- Comfortable with independent contractor / contract-for-service vs employment classification issues in remote workforce models
- Proven diligence reviewing agreements end-to-end — catches gaps, inconsistent terms, and silent risk before signature
- Clear written English; can work with remote ops, finance, and product
- Judgment on when something is a business call vs when it needs outside counsel
Nice-to-haves
- Hands-on DPA / data-processing agreement review
- Experience with high-volume contractor or BPO/RPO-adjacent workforce models
- Startup or growth-stage counsel experience
- Vendor paper negotiation at pace
- Familiarity with other remote-hire jurisdictions we engage into
