The Practice
The firm advises buyers, sellers, founders, management teams, investors, and public companies across a broad range of domestic and cross-border corporate transactions, including:
Private company mergers and acquisitions

Stock and asset acquisitions
Growth equity and strategic investments
Joint ventures and corporate partnerships
Cross-border acquisitions and international transactions
Public company acquisitions and strategic combinations

Many matters involve founder-owned businesses, complex ownership structures, closely held companies, and transactions requiring practical business judgment alongside sophisticated legal execution.
What You'll Do
You will serve as lead transaction counsel on sophisticated middle-market M&A matters, including:
Structuring, negotiating, and closing mergers, acquisitions, and divestitures
Drafting and negotiating LOIs, purchase agreements, disclosure schedules, and ancillary transaction documents
Leading due diligence and coordinating multidisciplinary transaction teams
Advising buyers, sellers, boards, and management throughout the transaction lifecycle
Managing negotiations with opposing counsel and business principals
Working closely with the firm's securities, tax, finance, employment, and regulatory attorneys on integrated transactions
Counseling clients on post-closing integration, governance, and strategic growth initiatives
This is a front-line deal role with significant client contact and transaction responsibility.
