We are seeking an experienced and commercially minded Manager: Legal to support Minor Hotels’ operations across multiple African jurisdictions. The role provides practical legal advice, manages commercial contracting, corporate governance and company secretarial matters, and supports regulatory compliance, licensing, litigation and insurance matters. Experience in the hotel and/or gaming sector and working across multiple jurisdictions is advantageous.
Provide timely, practical and commercially focused legal advice to internal stakeholders on matters affecting the regional businesses.
Draft, review and negotiate a broad range of commercial agreements and legal documents, including leases, non-disclosure agreements, services, supplier and other operational agreements.
Manage the contract approval, execution and filing process in accordance with applicable limits of authority and powers of attorney, maintain the regional agreements register, and monitor renewals, expiries and contractual obligations.
Undertake company secretarial and corporate governance responsibilities, including maintaining statutory records and registers, preparing and circulating board and shareholder resolutions, supporting board and committee meetings, drafting agendas and minutes and compiling board and committee reports.
Coordinate statutory and regulatory filings, compliance requirements, and other corporate actions across the regional entities.
Advise on and support compliance with gaming legislation and regulations, including applications, renewals and ongoing management of casino, employee and other licences.
Provide advice and support in relation to compliance with applicable anti-money laundering and counter-terrorist financing legislation.
Implement and oversee data protection and access to information policies and practices, and advise the business on applicable privacy and information governance requirements.
Manage and support litigation, disputes and claims, liaise with external legal counsel as required and maintain accurate litigation and matter registers.
Support insurance claims and related matters, and liaise with brokers, insurers and internal stakeholders.
Conduct legal and regulatory research, monitor relevant developments, maintain legal and compliance databases, and assist with the implementation and drafting of Group policies and procedures.
Work closely with Finance, Tax, People & Culture, Operations and other functions to provide coordinated legal and governance support across the region.
Qualifications:
LLB or equivalent recognised law degree and admission as an attorney or advocate in South Africa.
At least five years’ relevant post-qualification experience in private practice or an in-house legal role; experience in hospitality, gaming or another regulated industry is advantageous.
Demonstrated experience in commercial contracting, corporate governance and company secretarial work.
Sound knowledge of data protection, regulatory compliance and licensing requirements; experience working across African jurisdictions is advantageous.
Strong legal drafting, negotiation, research, analytical and problem-solving skills, with excellent attention to detail.
Commercial judgement and the ability to translate legal requirements into clear, practical and risk-based advice.
Ability to manage competing priorities, work independently, meet deadlines and maintain accurate records.
Strong written and verbal communication skills and the ability to build effective relationships with senior stakeholders, operational teams, regulators and external advisers.
