The candidate will have responsibilities across the following functions:
Contract management:
Draft, review, and redline commercial agreements, NDAs, MSAs, SaaS agreements, vendor contracts, and partnership deals.
Maintain a contract tracker with renewal dates, obligations, and status.
Own the end-to-end contract lifecycle with minimal supervision.
Corporate compliance:
Handle all MCA / ROC filings, annual returns, form filings, charge creation/modification.
Maintain statutory registers, board minutes, and resolutions.
Ensure timely compliance with Companies Act requirements.
Intellectual property:
File and track trademark and copyright applications.
Monitor IP portfolio, renewals, and third-party infringement alerts.
Coordinate with external IP attorneys for prosecution.
Fundraise and investor legal:
Build and manage the due diligence data room for investor rounds.
Review term sheets, SHA, SSA, and ancillary documents with external counsel.
Maintain cap table documents and investor-related records.
Employment and HR legal:
Draft offer letters, employment agreements, and separation documents.
Maintain POSH policy, internal committee constitution, and compliance records.
Draft NDA and IP assignment agreements for new hires.
Day-to-day legal support:
Be the first point of contact for legal queries from finance, HR, product, and business teams.
Liaise with external counsel, CS firms, IP attorneys, investor lawyers, and auditors.
Identify legal risks early and flag them proactively.
Requirements:
LLB or LLM from a recognised institution.
2-4 years of hands-on corporate/transactional legal experience.
Prior experience in a startup, VC-backed company, or fast-paced legal setup (not just large law firms).
Proven ability to draft and redline contracts independently.
MCA / ROC filings done without supervision.
Strong written English; your documents represent Convosight externally.
Highly organised, zero misses on deadlines and compliance calendars.
Ability to work across teams without needing hand-holding.
Good to have:
Experience supporting a fundraise round (Series A / B due diligence preferred).
Working knowledge of the DPDP Act, GDPR basics, or data privacy frameworks.
Exposure to global client contracts (US / EU counterparties).
Basic familiarity with SEBI / FEMA regulations.
Comfortable with DocuSign, contract lifecycle tools, or Notion / Jira for task tracking.
