Key Responsibilities
1. Secretarial & Compliance
Manage end-to-end Board Meetings, Committee Meetings, and AGMs (Agendas, Notices, Minutes, and Resolutions).
Handle all ROC filings, annual returns, and e-governance paperwork as an authorized representative.
Ensure full statutory compliance under the Companies Act (2013), FEMA, and Labour/Employment laws.
Maintain and preserve all statutory registers, books, and corporate secretarial records.
Execute corporate actions like Rights Issues, Preferential Allotments, and name changes.
2. Legal & Contract Management
Draft, vet, and negotiate diverse commercial contracts (SLAs, GMSAs, Lease Deeds, IT Software agreements, and MoUs).
Provide clear legal and strategic advice to internal business and operations teams.
Liaise and coordinate with external stakeholders, regulators, lawyers, and auditors.
3. Strategy & Due Diligence
Conduct detailed secretarial due diligence and research for new corporate investment opportunities.
Provide compliance inputs to management regarding corporate restructuring, mergers, or takeovers.
Profile Requirements
Education: Qualified Company Secretary (ACS) and registered member of ICSI. (An LL.B degree is a strong advantage).
Experience: 5 to 6 years of solid post-qualification experience blending secretarial work with commercial contract handling.
Skills: Deep knowledge of Corporate Law, excellent contract drafting skills, and strong professional communication capabilities.
