About the Opportunity
Epiq Counsel is seeking a Commercial Counsel to support our client, a global technology leader, on the legal team for its consumer hardware business.
This is an interim engagement for a mid-level commercial attorney who likes being close to the sale. You’ll negotiate the downstream agreements that get hardware into customers’ hands — retailers, carriers, resellers, and enterprise channels — working inside established templates and playbooks, embedded with a go-to-market organization that runs on launch dates. It is a hands-on, deal-facing role: you’ll own negotiations with oversight from the lead counsel, make practical risk calls, and help sales find a workable path to yes on a compressed timeline.
About the Client
Our client is one of the world’s leading technology companies, and this team supports the go-to-market and in-market activity for its consumer hardware lines — including AI-enabled wearables, virtual reality devices, and upcoming product launches. Legal is embedded directly with the commercial organization, and this role will be shared across a small team of attorneys, with a varied mix of channel work and the opportunity to grow into more bespoke partnership and business-development matters over time.
Key Details
Engagement Type: Interim engagement (Epiq Counsel model)
Duration: Longer-term, 1–2 years
Hours: Full-time, approximately 40 hours per week; peaks around product launches and Q4
Work Model: Fully remote (U.S.-based); North American business hours, with occasional coordination with EMEA and APAC counterparties
Start Date: Mid-to-late October 2026
Client Exposure: Day-to-day work with the lead commercial counsel and other attorneys on the team; direct partnership with sales, channel, and go-to-market leaders; regular negotiation with retailer, carrier, and reseller counsel
Compensation: $200,000 to $250,000 (annualized), W-2 through Epiq Counsel
Benefits: Healthcare, paid vacation, paid holidays, paid bar dues, plus engagement support and coaching
Responsibilities
Channel & Distribution Negotiation (60%)
Draft, redline, and negotiate retail, carrier, reseller, distributor, and enterprise channel agreements for consumer hardware products, from first redline through signature
Negotiate on both the client’s paper and counterparty paper, including with large retailers and carriers with their own templates
Carry two to three material deals at a time with oversight, growing in autonomy as you learn the client’s playbooks and risk framework
Support a steady deal flow of one to two agreements per week, with volume spikes around launches
Go-to-Market Counseling (25%)
Partner day to day with sales, channel partnerships, and commercial leadership on deal structure, pricing and promotion terms, and non-standard requests
Spot and escalate pricing-policy, exclusivity, and other competition-sensitive terms to the right specialists before they go out
Make real-time risk calls on launch timelines and help stakeholders get to a workable outcome
Playbooks, Templates & Team Support (15%)
Learn and apply the client’s templates, playbooks, and fallback positions, and improve them where you see the opportunity
Support other attorneys on the team across a varied portfolio of commercial matters
Over time, cross-train into bespoke collaboration work — joint go-to-market, joint product development, and business-development agreements
Qualifications
JD and active U.S. law license in good standing
Approximately 5–9 years of experience, with significant hands-on experience drafting and negotiating commercial agreements in-house or in a sophisticated commercial practice
Sell-side experience supporting a sales or go-to-market organization — enterprise, retail, or telco — with a real understanding of how sales teams work and the pressure they operate under
Strong commercial judgment; able to make sound calls quickly and know what to escalate
Comfort with volume, ambiguity, and deadlines set by product launches rather than legal calendars
Excellent English-language drafting, negotiation, and communication skills
A collaborative, solutions-focused style — effective with internal business teams and credible across the table
Preferred Experience
Retail, reseller, distributor, or carrier channel agreements for physical products
Consumer electronics, hardware, or consumer products industry experience
Exposure to competition law issues in distribution — unilateral pricing policies, MAP, exclusivity
Experience with marketing, promotion, and advertising review tied to product launches
Prior work inside a large, matrixed technology company
Why This Role
This is a chance to do real deal work on products people actually use, inside one of the most sophisticated commercial legal functions in technology. It’s ideal for a mid-level commercial attorney who wants to own negotiations rather than review from the sidelines, enjoys the pace of a launch calendar, and wants a path into more complex partnership work — with the flexibility and support of the Epiq Counsel model.
