1. About Our Client:
The organization operates within corporate governance and entity management, addressing the challenges of maintaining compliance and accurate records across complex, multi-entity corporate structures. It manages domestic and foreign subsidiaries, ensuring regulatory adherence through comprehensive oversight of entity formations, registrations, and statutory filings.
2. About the Opportunity:
The Corporate Governance Administrator is responsible for managing the full lifecycle of corporate entities and ensuring their ongoing compliance. This role serves as the single point of accountability for corporate records and filings, directly impacting the organization’s ability to maintain audit-ready governance documentation and mitigate risks associated with entity management.
3. Responsibilities:
Manage formation, maintenance, and remediation of corporate entities including domestic and foreign subsidiaries
Oversee high-volume registrations and filings across multiple jurisdictions
Maintain complete and accurate corporate entity records and governance documentation
Conduct internal audits of entity governance and registration status
Identify and correct deficiencies proactively
Certify records for auditors, banks, regulators, and third parties
Coordinate with internal departments and external service providers to ensure alignment and compliance
Administer internal communications platforms related to governance
Maintain regular attendance and perform additional duties as assigned
4. Requirements:
Bachelor’s degree in business or equivalent experience (minimum three years)
Proven experience in corporate governance, entity management, legal operations, auditing, or regulatory compliance
Track record managing complex multi-entity structures with high filing volumes
Strong attention to detail with demonstrated accuracy and follow-through
Ability to independently identify and resolve issues with sound professional judgment
Experience or adaptability to regulated or highly scrutinized environments
Ability to obtain necessary security clearances or background checks
5. Pay Range and Compensation Package:
Pay range: $75,000 to $90,000 per year, depending on experience
